If i drop an XP Pro CD into a machine running XP Home, will it offer an upgrade path to Pro or will i have to reinstall and lose all my settings ?

EDIT: the XP Pro disc is not an OEM disc

Upgrade should be available provided your (legit) XP Home is in the same language as your XP Pro (It won't offer an upgrade if you upgrade from a Chinese XP Home to an English XP Pro, at least it didn't in my case).

I think that once you accept the license agreement, it will detect your previous version and ask you to either repair, upgrade, or reformat. If it doesn't ask you to upgrade, you can always cancel the XP installation.
