OEM stands for Original Equipment Manufacturer. So, an OEM CD is one that's provided by whoever you get your laptop from. It's cheaper, but it also has more restrictions - such as, you can't install it on any other computer than the one it came with. It's against the license agreement, and there are technical checks in place to make sure you can't use it to install on other computers, though of course these checks are not perfect. An OEM CD can also have some customizations in the default configuration. For example, most laptops don't have a number pad, so chances are, numlock will be off by default, not just in BIOS but also in Windows. Hope this answers your question.
