Do I need to keep the "On-Access Scan" enabled, and does it take up a lot of memory resources while running?? If I deselect it, any potential downside?

Need to? No. A lot of memory. Not a lot, but some. Downside? No real time scanning.

Simple rule. If McAfee is working, leave it be.

McAfee is 1 of the lousiest Internet Security or Anti-virus, especially those Enterprise versions.
I don't like it as it slowdown the System gradually.
Norton, Kaspersky and Avira did better. I mean they didn't slowdown the System and have superb detection rate.

Do yourself a favor and get rid of McAfee altogether. Even the free AVs and free antispyware apps do a better job than McAfee!

Do I really even need it running all the time. My netbook has Vista and I have the firewall set at the factory settings. Will Vista warn me of any potential threats? Also, I should be getting my free upgrade to Windows 7 soon and am wondering how the security is with that system.

    thanks

As others have suggested, get rid of McAfee. If I buy I system and it is installed on it, it's the first thing I remove. I couldn't imagine running that program on a netbook. Free programs such as Avast or Microsoft Security Essentials will run MUCH better on a netbook.
