InstallShield is a software installer routine that many software companies use to distribute their products. Like any software, it gets updated. The later versions of it also have a feature that can check for updates of some of the products that were installed by it. Think of it like the automatic Windows Update, though Install Shield updater is keeping an eye on much less critical things than your OS.

If you want the updater to keep checking for you, leave it installed. If not, you can remove it. It's strange that it's popping up even when it fails to find anything. Mine is set to check automatically, and only pops up when it finds a newer versions available. There might be some option somewhere to control that behavior.
